We associate ourselves together to form a non-profit corporation under the laws of the State of Arizona and for that purpose adopt the following Articles of Incorporation.

The principal office and place of transacting business of the Corporation shall be 
Bisbee Municipal Airport, 2375 Arizona Street, Bisbee, AZ 85603.  The Board of Directors may meet for the transaction of business at such other places within the State of Arizona as the Directors may from time to time designate. 
Article III - Purpose 
The purpose of Friends of the Bisbee, AZ, Airport, Inc. is to:  Lessen the Burdens of the Municipal Government by taking over from the city of Bisbee the oversight of operations of the Bisbee Municipal Airport, located at 2375 Arizona Street, Bisbee, Arizona 85603. 
 Notwithstanding any other provisions of these articles, this Organization shall not carry on any other activities not permitted to be carried on (a.) by an organization exempt by Federal income tax under Section 501[c](3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law) or (b.) by an organization, contributions to which are deductible under Section 170[c](2) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law).  This organization shall be non-political and non-sectarian in all of its relationships. 
Article IV - Calendar and Fiscal Year 
For fiscal and administrative purposes, the year shall begin January 1st and end December 31st. 
Article V - Directors 
 Section 1. 	The number of directors may be increased or decreased from time to time by action of the Board of Directors, but the Board of Directors shall be composed of not less than two (2) or more than seven (7) members.   
Section 2. 	Election and Removal of Directors 
New directors shall be elected at the annual meeting of the Board of 
Directors by the directors then in office in accordance with the Articles of Incorporation, these Bylaws, and the laws of the State of Arizona.  A director may be removed before the expiration of his or her term if two-thirds (2/3) of the directors at any special meeting of the Board of Directors called for such purpose shall vote in favor of removal or if removal is in accordance with the other provisions of these Bylaws. 
Section 3. 	Term of Office of Directors 
The term of office for directors shall be one (1) year. All terms of office will be renewed by voice of affirmation each year at the first Board meeting of the year. The governing board members/directors are indicated as follows: 
President and Secretary/Treasurer 
Along with, up to, six additional board members.  Additional Adjunct members to the board may be added and can participate in board meetings but have no decision-making authority or voting privileges.  
Section 4. 	Resignations and Terminations 
Any director may resign at any time.  Such resignation shall be made in writing and shall take effect at the time specified therein, and, if no time is specified, at the time of its receipt by the President or Secretary/Treasurer.  
Acceptance of a resignation shall not be necessary to make it effective.  Any director who is absent from more than one-half of the regularly scheduled meetings in any years, except for good cause, may be terminated by action of the remaining directors.  
Section 5.   Vacancies 
If a vacancy shall occur in the office of any directors, the remaining directors in office, though less than a quorum, by a majority vote may appoint any qualified person to fill the vacancy and to hold office for the unexpired term or until his or her successor shall be duly chosen.  If by reason of death, resignation, or otherwise, the Corporation shall have no directors in office, any officer of the Corporation may act as officer. 
Section 6.   Meetings of Directors 
Regular meetings of the Board of Directors may be held at such time and place as the Board may determine.  All board members will be notified of the meeting. No further notice shall be required for any such regular meeting of the Board of Directors. 
A regular meeting of the Board of Directors shall be held annually. 
Special meetings of the Board of Directors may be called at any time by the President or at the request in writing of a majority of the Board of Directors.  The Secretary/Treasurer shall give notice of the time, place and purpose of each special meeting, where practicable, by emailing the same at least seven (7) days before the meeting.  
Section 7. 	Place of Meetings 
The meetings of the Board of Directors shall be held at the place designated in the notice thereof. 
Section 8 	
Quorum 
A quorum of the Board of Directors shall be a simple majority of the total Board of Directors.  Business transacted by the Board of Directors shall be by a simple majority of the directors present at any meeting.  	 
In the absence of a quorum, any meeting of the Directors may be adjourned from time to time until a quorum is present. 
Article VI - Powers of Directors 
Subject to such limitations as are imposed by law, if any, the Board of Directors shall have full power and authority to manage and control all of the affairs of the Corporation and to exercise all of its powers.  It may appoint such officers, agents and committees, as it deems proper, and may delegate authority to them.  The Board of Directors may establish such rules for the conduct of its business, consistent with the provisions of these Bylaws, as it may determine from time to time. 
Article VII -Officers 
Section 1 	Officers 
The officers of the Corporation shall be president and secretary/treasurer.  All officers shall hold office upon the approval of the Board of Directors. 
Section 2 	President 
The President of the Corporation shall be Chairman of the Board of Directors.  He/she shall be the chief executive officer of the Corporation and shall have general control and management of its business and affairs, subject only to the control of the Board of Directors.  He/she shall exercise such other duties as may be authorized or required by the Board of Directors. 
Section 3 	Secretary/Treasurer 
The Secretary/Treasurer shall publicize all Regular and Special meetings, shall keep minutes of all meetings of the Board of Director, respond to and maintain all general correspondence and shall maintain any other records as directed by the Board of Directors.  He/she shall receive and disburse the funds of the Corporation, maintain the banking records, prepare financial reports as needed for the Corporation and shall maintain a current membership list. The Treasurer shall keep a list of all incoming funds and said funds are to be deposited from time to time to the credit or the Corporation in banks, trust companies or other depositories.  At the request of the donor, the Treasurer shall issue a receipt for incoming funds.  The Treasurer shall prepare and present a current financial report at each meeting of the Board of Directors. 
Article VIII 
Instruments and Documents, 
Contracts, Loans, Checks and Deposits 
Section 1 	Documents and Obligations 
The President or Secretary/Treasurer of the Corporation may sign any deeds, mortgages, bonds, contracts, notes and other evidence of debt, or other instruments or documents which the Board of Directors has authorized to be executed, except in cases where the signing and execution thereof shall be expressly delegated by the Board of Directors or by the bylaws to some other officer or agent of the Corporation, or shall be required by law to be otherwise signed or executed. 
Section 2 	Deposits 
All sums of the Corporation not otherwise obligated in the ordinary business affairs of the Corporation shall be deposited, from time to time, to the credit of the Corporation in such banks, trust companies or other depositories as the Board of Directors may select. 
Section 3 	Checks 
All checks, drafts or other orders for the payment of money issued in the name of the Corporation shall be drafted by the Treasurer and signed by such officers or agents of the Corporation, and in such manner, as shall from time to time be determined by resolution of the Board of Directors.  The Board may designate another board member to withdraw funds from any account of the organization. Until further action by the Board of Directors, any checking accounts established by the Corporation shall require two (2) officers on the signature card and one (1) signature on any check up to $1,000.00 and two signatures on checks over $1000.00.  Authorized officers shall include the President and Secretary/Treasurer and/or other authorized board member(s). 
Article IX – LIMITATIONS ON THE USE OF CORPORATE ASSETS 
No part of the net earnings of the Corporation shall inure to the benefit of, or be distributable to, its members, directors, officers or other private persons, except that the Corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article III hereof.   
Article X -Indemnification 
The Corporation may indemnify to the maximum extent permitted by applicable 
Arizona law, as amended from time to time, any director, officer, or agent, or any former Director, officer or agent of the Corporation, who was or is a party or is threatened to be made a party of any administrative or investigative (other than an action by or in the right of the Corporation) by reason of the fact that he/she is or was an authorized representative of the Corporation,  against expenses (including, without limitation, attorneys’ and witness’ fees and court costs), judgments, fines and suits or proceedings if he/she acted in good faith and in a manner he/she reasonably believed to be in, or not opposed to, the best interests of the Corporation and, with respect to any criminal action or proceeding had no reasonable cause to believe his or her conduct was unlawful.  The termination of any action, suit, or proceedings, by judgment, order, settlement, conviction, or upon a plea of nolo contendere or its equivalent, shall not, of itself, create a presumption that the person did not act in good faith and in a manner which he/she reasonably believed to be in, or not opposed to, the best interest of the Corporation and, with respect to any criminal proceeding, that he/she did not have reasonable cause to believe that his/her conduct was unlawful.  Subject to the provisions of applicable law, the Corporation may also purchase and maintain insurance on behalf of its directors, officers, and agents against any liability asserted against or incurred by them in their capacity as director, officer, or agent of arising out of that status as such, whether or not the Corporation would have the power or duty to indemnify against such liability. 
Article XI -Dissolution of Organization 
If the organization is liquidated and dissolved, all assets remaining after payment and discharge of its duties, obligations and liabilities will be distributed to the City of Bisbee.

Friends of the Bisbee, AZ, Airport, Inc. 
An Arizona Non-Profit Corporation 
We associate ourselves together to form a non-profit corporation under the laws of the State of Arizona and for that purpose adopt the following Articles of Incorporation. 
Article I – CORPORATE NAME 
The name of this Corporation shall be:  FRIENDS OF THE BISBEE, AZ, AIRPORT, INC. 
Article II – PLACE OF BUSINESS 
The principal office and place of transacting business of the Corporation shall be 
Bisbee Municipal Airport, 2375 Arizona Street, Bisbee, AZ 85603.  The Board of Directors may meet for the transaction of business at such other places within the State of Arizona as the Directors may from time to time designate. 
Article III - Purpose 
The purpose of Friends of the Bisbee, AZ, Airport, Inc. is to:  Lessen the Burdens of the Municipal Government by taking over from the city of Bisbee the oversight of operations of the Bisbee Municipal Airport, located at 2375 Arizona Street, Bisbee, Arizona 85603. 
 Notwithstanding any other provisions of these articles, this Organization shall not carry on any other activities not permitted to be carried on (a.) by an organization exempt by Federal income tax under Section 501[c](3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law) or (b.) by an organization, contributions to which are deductible under Section 170[c](2) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law).  This organization shall be non-political and non-sectarian in all of its relationships. 
Article IV - Calendar and Fiscal Year 
For fiscal and administrative purposes, the year shall begin January 1st and end December 31st. 
Article V - Directors 
 Section 1. 	The number of directors may be increased or decreased from time to time by action of the Board of Directors, but the Board of Directors shall be composed of not less than two (2) or more than seven (7) members.   
Section 2. 	Election and Removal of Directors 
New directors shall be elected at the annual meeting of the Board of 
Directors by the directors then in office in accordance with the Articles of Incorporation, these Bylaws, and the laws of the State of Arizona.  A director may be removed before the expiration of his or her term if two-thirds (2/3) of the directors at any special meeting of the Board of Directors called for such purpose shall vote in favor of removal or if removal is in accordance with the other provisions of these Bylaws. 
Section 3. 	Term of Office of Directors 
The term of office for directors shall be one (1) year. All terms of office will be renewed by voice of affirmation each year at the first Board meeting of the year. The governing board members/directors are indicated as follows: 
President and Secretary/Treasurer 
Along with, up to, six additional board members.  Additional Adjunct members to the board may be added and can participate in board meetings but have no decision-making authority or voting privileges.  
Section 4. 	Resignations and Terminations 
Any director may resign at any time.  Such resignation shall be made in writing and shall take effect at the time specified therein, and, if no time is specified, at the time of its receipt by the President or Secretary/Treasurer.  
Acceptance of a resignation shall not be necessary to make it effective.  Any director who is absent from more than one-half of the regularly scheduled meetings in any years, except for good cause, may be terminated by action of the remaining directors.  
Section 5.   Vacancies 
If a vacancy shall occur in the office of any directors, the remaining directors in office, though less than a quorum, by a majority vote may appoint any qualified person to fill the vacancy and to hold office for the unexpired term or until his or her successor shall be duly chosen.  If by reason of death, resignation, or otherwise, the Corporation shall have no directors in office, any officer of the Corporation may act as officer. 
Section 6.   Meetings of Directors 
Regular meetings of the Board of Directors may be held at such time and place as the Board may determine.  All board members will be notified of the meeting. No further notice shall be required for any such regular meeting of the Board of Directors. 
A regular meeting of the Board of Directors shall be held annually. 
Special meetings of the Board of Directors may be called at any time by the President or at the request in writing of a majority of the Board of Directors.  The Secretary/Treasurer shall give notice of the time, place and purpose of each special meeting, where practicable, by emailing the same at least seven (7) days before the meeting.  
Section 7. 	Place of Meetings 
The meetings of the Board of Directors shall be held at the place designated in the notice thereof. 
Section 8 	
Quorum 
A quorum of the Board of Directors shall be a simple majority of the total Board of Directors.  Business transacted by the Board of Directors shall be by a simple majority of the directors present at any meeting.  	 
In the absence of a quorum, any meeting of the Directors may be adjourned from time to time until a quorum is present. 
Article VI - Powers of Directors 
Subject to such limitations as are imposed by law, if any, the Board of Directors shall have full power and authority to manage and control all of the affairs of the Corporation and to exercise all of its powers.  It may appoint such officers, agents and committees, as it deems proper, and may delegate authority to them.  The Board of Directors may establish such rules for the conduct of its business, consistent with the provisions of these Bylaws, as it may determine from time to time. 
Article VII -Officers 
Section 1 	Officers 
The officers of the Corporation shall be president and secretary/treasurer.  All officers shall hold office upon the approval of the Board of Directors. 
Section 2 	President 
The President of the Corporation shall be Chairman of the Board of Directors.  He/she shall be the chief executive officer of the Corporation and shall have general control and management of its business and affairs, subject only to the control of the Board of Directors.  He/she shall exercise such other duties as may be authorized or required by the Board of Directors. 
Section 3 	Secretary/Treasurer 
The Secretary/Treasurer shall publicize all Regular and Special meetings, shall keep minutes of all meetings of the Board of Director, respond to and maintain all general correspondence and shall maintain any other records as directed by the Board of Directors.  He/she shall receive and disburse the funds of the Corporation, maintain the banking records, prepare financial reports as needed for the Corporation and shall maintain a current membership list. The Treasurer shall keep a list of all incoming funds and said funds are to be deposited from time to time to the credit or the Corporation in banks, trust companies or other depositories.  At the request of the donor, the Treasurer shall issue a receipt for incoming funds.  The Treasurer shall prepare and present a current financial report at each meeting of the Board of Directors. 
Article VIII 
Instruments and Documents, 
Contracts, Loans, Checks and Deposits 
Section 1 	Documents and Obligations 
The President or Secretary/Treasurer of the Corporation may sign any deeds, mortgages, bonds, contracts, notes and other evidence of debt, or other instruments or documents which the Board of Directors has authorized to be executed, except in cases where the signing and execution thereof shall be expressly delegated by the Board of Directors or by the bylaws to some other officer or agent of the Corporation, or shall be required by law to be otherwise signed or executed. 
Section 2 	Deposits 
All sums of the Corporation not otherwise obligated in the ordinary business affairs of the Corporation shall be deposited, from time to time, to the credit of the Corporation in such banks, trust companies or other depositories as the Board of Directors may select. 
Section 3 	Checks 
All checks, drafts or other orders for the payment of money issued in the name of the Corporation shall be drafted by the Treasurer and signed by such officers or agents of the Corporation, and in such manner, as shall from time to time be determined by resolution of the Board of Directors.  The Board may designate another board member to withdraw funds from any account of the organization. Until further action by the Board of Directors, any checking accounts established by the Corporation shall require two (2) officers on the signature card and one (1) signature on any check up to $1,000.00 and two signatures on checks over $1000.00.  Authorized officers shall include the President and Secretary/Treasurer and/or other authorized board member(s). 
Article IX – LIMITATIONS ON THE USE OF CORPORATE ASSETS 
No part of the net earnings of the Corporation shall inure to the benefit of, or be distributable to, its members, directors, officers or other private persons, except that the Corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article III hereof.   
Article X -Indemnification 
The Corporation may indemnify to the maximum extent permitted by applicable 
Arizona law, as amended from time to time, any director, officer, or agent, or any former Director, officer or agent of the Corporation, who was or is a party or is threatened to be made a party of any administrative or investigative (other than an action by or in the right of the Corporation) by reason of the fact that he/she is or was an authorized representative of the Corporation,  against expenses (including, without limitation, attorneys’ and witness’ fees and court costs), judgments, fines and suits or proceedings if he/she acted in good faith and in a manner he/she reasonably believed to be in, or not opposed to, the best interests of the Corporation and, with respect to any criminal action or proceeding had no reasonable cause to believe his or her conduct was unlawful.  The termination of any action, suit, or proceedings, by judgment, order, settlement, conviction, or upon a plea of nolo contendere or its equivalent, shall not, of itself, create a presumption that the person did not act in good faith and in a manner which he/she reasonably believed to be in, or not opposed to, the best interest of the Corporation and, with respect to any criminal proceeding, that he/she did not have reasonable cause to believe that his/her conduct was unlawful.  Subject to the provisions of applicable law, the Corporation may also purchase and maintain insurance on behalf of its directors, officers, and agents against any liability asserted against or incurred by them in their capacity as director, officer, or agent of arising out of that status as such, whether or not the Corporation would have the power or duty to indemnify against such liability. 
Article XI -Dissolution of Organization 
If the organization is liquidated and dissolved, all assets remaining after payment and discharge of its duties, obligations and liabilities will be distributed to the City of Bisbee.

Articles Of Incorporation Of Holy Trinity Monastery Center, Inc. (Arizona non-profit tax exempt-corporation)
1. Name: The name of the corporation is Holy Trinity Monastery Center, Inc. 2. Purpose: The purpose for which this corporation is organized is to possess and exercise in general all powers conferred upon corporations by Arizona law, as amended from time to time, and in particular to promote and operate educational services, hospitality services, and a language school in a charitable and hospitable environment that welcomes any religious affiliation and responds cost effectively to the needs of the people of southern Arizona and all countries of the world. 3. Character Of Affairs: This corporation is organized exclusively for charitable and educational purposes in general, and in particular to operate educational services, hospitality services, and a language school in a non-discriminatory atmosphere, as a subsidiary of the Istituto San Giuseppe-Società Cooperativa Sociale, an Italian non-profit corporation. 4. Earnings: No part of the net earnings of this corporation shall inure to the benefit of or be distributable to its directors, officers, or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Articles 2 and 3 above. No substantial part of the activities of this corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation; and this corporation shall not participate in, or intervene in (including the publishing or distribution of statements), any political campaign on behalf of or in opposition to any candidate for public office.
